(h) members o f the Senate, equal i n number t o the number o f the Colleges, elected by the Senate so that there shall be one member o f the Academic Board o f each College; (i) four persons f r om universities or educational organizations outside Ho ng K o ng who shall be nominated b y the Coun c i l; ( j) four persons nominated b y the Chancellor; ( k ) three persons elected b y Unofficial Membe rs of the Legislative Council; (l) not more than three other persons, normally resident in H o ng Ko n g, who shall be elected by th e Council; (m) after a date to be appointed by the Council, such number of members of the Convocation not exceeding three as shall be determined by the Council f r om time to time, to be elected by the Convocation i n the manner determined b y the Council. Ineligibilit y fo r membership o f Council . 12. Persons who hold appointments in the University or any of the Colleges or who are members of the Board o f Governors o f any of the Colleges shall not be eligible for nomination, election o r appointment as the case may be to membership of the Council under paragraph ( j ) , (k), (l), or (m) of section 11 . Chairma n o f Council. 13. (1 ) T h e Chairman o f the Council shall be appointed b y the Chancello r on the nomination of the Council f r om persons under paragraph (j), (k), (l) or (m) of section 11. (2) T he Chairman o f the Council shall hold office for four years and may be re-appointed for additional periods not exceeding a total of four years: Provided that no person shall hold the office of Chairman for more than a period of eight years in all. Perio d o f service o n Council . 14. Members o f the Council shall serve for such period as may be prescribed b y Statute. Power s of th e Council . 15. T h e Council shall, subject to the provisions of this Ordinance and to any Statute made there under— (a) exercise a general supervision o f the affairs, purposes and functions o f the University; (b) have the custody, control and disposition of all th e property, funds, fees and investments of the University as distinct f r om the property, funds and investments o f the Colleges and shall manage the financial affairs of the University as distinct f r om those of the Colleges, save that no College shall— (i) withou t the consent o f the Council apply for o r receive any money o r money's wo r th f r om the Government of H o ng K o n g or f r om any other government or government source; o r (ii) accept any benefaction wh i ch i n the opinion o f the Council may adversely affect the interests o f the University; (c) make such University appointments as i t deems proper; (d) have power t o approve the fees charged b y the Colleges i n respect o f approved courses of study. Compositio n o f th e Senate . 16. (1 ) T he Senate shall consist o f— (a) the Vice-Chancellor who shall be Chairman ; (b) the Presidents or, where applicable, the Ac t i ng Presidents o f the Colleges; (c) one Vice-President f r om each o f the Colleges; (d) th e Professors; (e) the Directors o f University Studies who are not Professors; ( f ) six members who shall be Readers, Senior Lecturers o r Recognized Lecturers but not Directors o f University Studies and who shall be elected two f r om each College by the Readers, Senior Lecturers and Lecturers w i t h in such College ; (g) the Librarian or, where applicable, the Ac t i ng Librarian. (2) Membershi p of the Senate shall be for such period as may be prescribed by the Statutes. Committee s generally. 17. (1 ) T h e Council shall establish a Finance Committee and an Administrative and Academic- Planning Committee, and the Council and the Senate may establish such other committees as they think fit. 4
