CUHKOrdinance 401 (2) Sub ject to subp aragraph (3 ), each Boar d of Trustees may, for the purp ose of the tru sts und er subparagraph (1), exercise the powers conferred on trustees by the Trustee Ordinance. (3) A Board of Trusteesshall not,without the prior approval of theCouncil, which may b e subject to su ch cond itions as the Council thinks fit, accept any gift for the benefit of the College. (4) Each Board sh all make written pr ovision fo r its pro cedur e in the transaction of business, the discharge of its aims and duties and the maintenance of good order at its meetings. (5) The Board of Trustees of Chung Chi Co llege shall — ( a ) recommend to the Council, thro ugh the Administrative and Planning Committee, all appointments to the Theology Division, or whatever part of the University shall succeed the Division as being resp onsible f or theolo gical ed ucatio n, inclu din g the appointment of the Head of the TheologyDivision (or equivalent post) and of the warden of the Theology Hostel; ( b ) allocate for the promotion of theological education,including the upkeep of the Theology Building, the resources made available from private funds; ( c ) provide for and appoint the Chaplain of the Chapel; and ( d ) advise the Senate on all major policymatters relating to theological education, and the Board o f Tru stees may delegate to a Theo logical Coun cil appointed by itthe power to discharge the functions and duties imposed on the Board by this subparagraph. 4. (1) The persons who, immmed iately before the commencement of this Ordinance, were members of the Board of Governors of Chung Chi College shall, o n the commencement of this Ordin ance, become the members of the Board of Trustees of that College incorporated under paragraph 2(1). (2) The persons who, immmed iately before the commencement of this Ordinance, were memb ers of the Boar d of Tr ustees o f The Un ited College of Hong Kong shall, on the commencement of this Ordinance, become members of the Board of Trustees of that Collegeincorporated under paragraph 2(2). (3) The persons who, immmed iately before the commencement of this Ordinan ce, were members of the Board of Gov ernors of New Asia Co lleg e sh all, on the commencement of this Ord inan ce, become members of the Board of Trustees of that College incorporated under paragraph 2(3). (4) Any person who is at the commencement of this Ordinance, or who becomes, a member of a Board of Trustees may retire as amember of that Board of Trustees, but no person shall retire so as to reduce the number ofmembers of theBoard of Trusteesbelow 4. (5) Vacancies in the number of members of a Board of Trustees shall from time to time be filled by such legal means aswould have been available for the appointment of new trustees if the Board of Trustees had not (Cap. 29.)
